In 1902 Salmon leased the Hotel Bristol in New York hoping to convert the hotel into stores and offices. He formed a joint venture with Meinhard who would provide the financing while Salmon managed the business. Twenty years later as the lease was expiring Salmon negotiated a profitable deal for redevelopment of the hotel all without telling Meinhard, who later sued. The court held that Salmon breached his fiduciary duty to Meinhard by appropriating the opportunity to himself, awarded Meinhard a half interest, and made textbook law. Meinhard v. Salmon, 249 N.Y. 458, 164 N.E. 545 (N.Y. 1928)
